Shipping POLICY

1. Purpose

This Dealer Direct Shipping Policy establishes the terms and conditions governing the shipment of KPower Lithium products to authorized dealers, distributors, installers, and approved commercial customers.

This Policy is intended to clearly define the responsibilities of both KPower Lithium and the purchasing dealer regarding order processing, freight charges, shipping methods, inspection requirements, risk of loss, freight claims, and carrier-related responsibilities.

This Policy should be read together with the KPower Lithium Warranty Policy, Freight Claim Policy, Return Policy, and Terms & Conditions of Sale.


2. Scope

This Policy applies to all dealer-direct shipments originating from KPower Lithium warehouses or authorized distribution facilities.

Unless otherwise agreed in writing, this Policy governs all wholesale shipments within the United States and Canada.


3. Order Processing

Dealer orders are processed during normal business hours, Monday through Friday, excluding weekends and statutory holidays.

All orders remain subject to:

  • Product availability
  • Inventory verification
  • Credit approval
  • Payment verification
  • Export control requirements
  • Dangerous goods shipping regulations
  • Fraud prevention review
  • Internal order validation

Submission of an order does not constitute acceptance by KPower Lithium.

KPower Lithium reserves the right to:

  • Refuse any order
  • Modify shipment quantities
  • Cancel orders where necessary
  • Correct pricing or clerical errors
  • Delay shipment pending verification

Approved in-stock orders are generally shipped within three (3) business days, although shipment times are estimates only and are not guaranteed.


4. Inventory Availability

Product availability displayed on websites, quotations, or dealer portals is subject to change without notice.

Backorders may occur due to:

  • High demand
  • Manufacturing schedules
  • Supply chain disruptions
  • Regulatory inspections
  • Transportation limitations

KPower Lithium may partially fulfill orders when appropriate unless otherwise instructed by the dealer.


5. Freight Charges

Unless otherwise agreed in writing, all freight charges are the responsibility of the purchasing dealer.

Charges may include:

  • Freight transportation
  • Fuel surcharges
  • Residential delivery fees
  • Remote area surcharges
  • Dangerous goods surcharges
  • Liftgate service
  • Appointment delivery charges
  • Inside delivery fees
  • Customs brokerage
  • Import duties
  • Storage fees
  • Redelivery charges
  • Rerouting charges
  • Carrier administrative fees

Freight charges are subject to change without prior notice based upon carrier pricing and applicable fuel surcharges.


6. Shipping Methods

KPower Lithium reserves the right to determine the carrier and shipping method unless otherwise agreed in writing.

Available shipping services may include:

  • Ground freight
  • Less-than-Truckload (LTL)
  • Full Truckload (FTL)
  • Parcel delivery
  • Expedited shipping
  • International freight
  • Dealer pickup arrangements

Special shipping requests may result in additional charges.


7. Shipping Terms

Unless otherwise specified in writing:

All shipments are FOB KPower Lithium warehouse.

Ownership, title, and risk of loss transfer to the dealer upon pickup of the shipment by the carrier, unless otherwise required by applicable law.

Once freight has been released to the carrier, transit times become the responsibility of the carrier.


8. Dangerous Goods Compliance

Lithium batteries are regulated as dangerous goods for transportation.

KPower Lithium ships products in accordance with applicable regulations, including where applicable:

  • UN38.3
  • U.S. Department of Transportation (DOT)
  • Transport Canada
  • IATA Dangerous Goods Regulations
  • IMDG Code
  • Applicable carrier requirements

Dealers remain responsible for storing, transporting, installing, and handling products in accordance with all applicable laws and safety regulations after delivery.


9. Delivery Inspection

Dealers must inspect all shipments immediately upon delivery.

Inspection should include verification of:

  • Shipment quantity
  • Product condition
  • Packaging condition
  • Visible damage
  • Missing items
  • Incorrect products

Visible freight damage or shortages must be:

  1. Clearly noted on the carrier's Proof of Delivery (POD) before signing.
  2. Photographed before unpacking where possible.
  3. Reported to KPower Lithium within 48 hours of delivery.

Failure to report visible damage within the required timeframe may affect eligibility for freight claims.


10. Concealed Damage

Damage discovered after unpacking must be reported within five (5) business days of delivery.

Customers should retain:

  • Original packaging
  • Pallets
  • Shipping labels
  • Internal packaging materials

Packaging must not be discarded until the freight investigation has concluded, as carriers may require inspection.


11. Incorrect Shipping Information

Dealers are responsible for providing accurate shipping information.

Additional costs resulting from:

  • Incorrect addresses
  • Refused shipments
  • Missed appointments
  • Delivery rescheduling
  • Address corrections
  • Carrier rerouting
  • Storage fees
  • Redelivery attempts

may be billed to the purchasing dealer.


12. Warranty Replacement Shipments

Warranty replacement shipments require prior authorization from KPower Lithium Technical Support.

Before replacement approval, KPower Lithium may request:

  • Product serial numbers
  • Installation photographs
  • Purchase documentation
  • Bluetooth diagnostic screenshots
  • Charging system specifications
  • Wiring diagrams
  • Troubleshooting history
  • Additional technical documentation

Replacement shipments remain subject to inventory availability.


13. Carrier Delays

Estimated transit times are provided by freight carriers for planning purposes only.

KPower Lithium is not responsible for delays caused by:

  • Weather
  • Natural disasters
  • Customs inspections
  • Port congestion
  • Carrier labor disputes
  • Dangerous goods restrictions
  • Government actions
  • Public emergencies
  • Mechanical failures
  • Force majeure events

14. Risk of Loss After Delivery

Ownership, title, and risk of loss transfer to the purchaser upon delivery to the shipping address specified in the order, as confirmed by the carrier's Proof of Delivery (POD), where applicable.

After confirmed delivery, KPower Lithium is not responsible for:

  • Theft
  • Weather damage
  • Improper storage
  • Mishandling
  • Unauthorized access
  • Subsequent transportation damage

Customers are responsible for ensuring a secure delivery location.


15. Limitation of Liability

To the fullest extent permitted by applicable law, KPower Lithium shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from:

  • Carrier delays
  • Lost profits
  • Business interruption
  • Missed installation appointments
  • Customer downtime
  • Third-party transportation failures

Nothing in this section limits rights that cannot legally be excluded.


16. Policy Updates

KPower Lithium may revise this Shipping Policy from time to time to reflect:

  • Regulatory changes
  • Carrier requirements
  • Operational improvements
  • Product changes
  • Business practices

Updated versions become effective upon publication unless otherwise stated.
